Terms of Service

1. Agreement to Terms
By engaging Excela Studio (“we”, “us”, or “our”) for any service — including website design, website redesign, or business automation — you (“the Client”) agree to these Terms of Service in full. If you do not agree, please do not proceed with an engagement.
2. Services
Excela Studio provides the following services:
- New Website Design — designing and developing websites for businesses that do not currently have an online presence.
- Website Redesign — redesigning and improving existing websites to better reflect the client's brand and business goals.
- Business Automations — building custom workflow automations to reduce manual effort and improve operational efficiency.
The exact scope, deliverables, and timeline for each project are agreed upon in a written proposal or project brief before work begins.
3. Project Proposals & Acceptance
All work commences only after both parties have agreed to a written proposal outlining the project scope, deliverables, timeline, and fees. Acceptance of a proposal — by email confirmation or payment of a deposit — constitutes a binding agreement to these Terms.
4. Payment Terms
Payment terms are specified in each project proposal. In general:
- A deposit is required before work begins. The deposit amount is stated in the project proposal.
- Remaining balances are due upon project completion, before final files or access credentials are transferred.
- Ongoing retainer or automation services are billed monthly in advance.
- Invoices not paid within 14 days of the due date may incur a late payment fee of 2% per month.
5. Revisions
Each project proposal specifies the number of revision rounds included. Revisions beyond the agreed scope will be quoted and billed separately at our standard hourly rate. A revision is defined as changes within the agreed scope — not additions to or changes of the original brief.
6. Client Responsibilities
The Client agrees to:
- Provide all required content, assets, logins, and information in a timely manner.
- Designate a single point of contact to avoid conflicting instructions.
- Review and provide feedback within the timeframes agreed in the project proposal.
- Ensure that any content, images, or materials supplied do not infringe on third-party intellectual property rights.
Delays caused by the Client may result in timeline adjustments. Excela Studio is not liable for project delays resulting from late or incomplete client input.
7. Intellectual Property
Upon receipt of full payment, ownership of the final deliverables transfers to the Client. Until then, all work remains the intellectual property of Excela Studio.
Excela Studio retains the right to display completed work in its portfolio and marketing materials unless the Client explicitly requests otherwise in writing.
8. Third-Party Tools & Services
Some projects may involve third-party platforms, plugins, or APIs (e.g., CMS platforms, automation tools, hosting providers). Excela Studio is not responsible for the pricing, availability, or changes in functionality of third-party services. Any third-party subscription costs are the Client's responsibility unless otherwise agreed.
9. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project. Excela Studio will not share the Client's business information, data, or materials with any third party without explicit consent, except where required by law.
10. Termination
Either party may terminate a project with 14 days' written notice. In the event of termination:
- The Client is liable for payment of all work completed up to the termination date.
- Any deposit paid is non-refundable unless Excela Studio is unable to commence work.
- Excela Studio will deliver all completed work-in-progress to the Client upon receipt of any outstanding payment.
11. Limitation of Liability
Excela Studio's total liability for any claim arising from our services is limited to the amount paid by the Client for the specific project in question. We are not liable for indirect, incidental, or consequential damages including, but not limited to, loss of revenue, loss of data, or business interruption.
12. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved in good faith through direct negotiation before any formal proceedings are initiated.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients. Continued engagement with our services constitutes acceptance of any updated terms.
